1. Agreement to Terms
By accessing or using the services provided by Cache Management Services ("CMS," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all visitors, users, and others who access or use our services.
2. Description of Services
CMS provides cache placement and data retrieval optimization services, including but not limited to strategic cache positioning, data flow architecture consulting, retrieval optimization, and related advisory services. The specific services provided to you will be outlined in a separate service agreement or statement of work.
3. User Responsibilities
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of any account credentials
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or servers
- Not attempt to gain unauthorized access to any systems
- Comply with all applicable laws and regulations
- Not use our services to transmit harmful or malicious content
4. Service Agreements
Specific services will be governed by separate service agreements, statements of work, or order forms that incorporate these Terms by reference. In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to that particular service.
5. Payment Terms
For paid services:
- Payment terms will be specified in your service agreement
- All fees are non-refundable unless otherwise stated
- We reserve the right to modify pricing with reasonable notice
- Late payments may result in service suspension
- You are responsible for all applicable taxes
6. Intellectual Property
All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, software, and documentation, are the exclusive property of CMS or our licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation shall survive the termination of these Terms for a period of three (3) years.
8. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CMS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless CMS and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:
- Your right to use our services will immediately cease
- We may delete your account and any associated data
- All provisions of these Terms which should survive termination shall survive
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CMS is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15. Entire Agreement
These Terms, together with any applicable service agreements, constitute the entire agreement between you and CMS regarding the use of our services and supersede all prior agreements and understandings.
